Terms and Conditions for Importable

Welcome to Importable! By accessing or using our services, you agree to abide by these Terms and Conditions. Please read them carefully. If you do not agree, you must discontinue use of Importable.

1. Overview of Services

1.1. Importable: A SaaS platform designed to help users find duty rates and calculate import costs to The Bahamas.

1.2. API: Enables integration of tariff information into third-party applications.

1.3. Courier Tools: Provides tools for enhanced import calculations, including bill creation and analytics.

2. Prohibited Activities

  • Systematic Data Copying: Systematic copying, scraping, or unauthorized extraction of data from Importable is strictly prohibited. If such activity is detected, the system will temporarily block access to the offending account.
  • Public Distribution or Resale: Data retrieved via the API must not be made publicly available, resold, or shared without explicit written permission from Importable.
  • API Token Sharing: Each API user must obtain a unique token. Tokens must not be shared across multiple applications, users, or businesses. For applications sold to multiple end users, each end user must obtain their own token.

3. Payments and Subscriptions

  • Payment Methods: Payments can be processed automatically via PayPal or manually through bank transfer or PayPal. Manual payments must be completed within 14 days of notification; otherwise, the subscription will be suspended. Payments made after 14 days but before 30 days will resume the subscription. Payments after 30 days require a new subscription.
  • Failed Payments: If payment fails, Importable will notify the user by email at least once. After two failed attempts, Importable reserves the right to cancel the subscription.
  • Refund Policy: No refunds will be provided for any reason.
  • Subscription Cancellation and Upgrades: Users can cancel their subscriptions at any time. Access will continue until the next renewal date. Upgrades require canceling the current subscription and starting a new plan. Any unused portion of the old subscription is forfeited during an upgrade.

4. Courier Tools Billing

  • Data Retention: PDF bills will be retained for 3 years. Analytics data will be retained for 5 years. At the 5-year mark, users may pay an additional fee to extend data retention.
  • Data Privacy: Courier Tools data, including client information, revenue, and business metrics, is sensitive and will not be shared, sold, or disclosed to third parties.
  • Data Access Upon Termination: Upon termination of the Courier Tools service, users may request access to their data. Requests must be submitted within 30 days of termination. After this period, Importable reserves the right to delete the data unless otherwise agreed.

5. Courier Tools Portal

  • Overview: Courier Tools Portal provides courier businesses with customer-facing tools including shipment tracking, invoice submission, import calculations, notifications, package management, white-labeling, and related courier operations features.
  • Customer Responsibility: Users are responsible for all activity conducted through their accounts and portals, including actions taken by employees, agents, or customers. Users must ensure that all uploaded invoices, shipment details, declarations, and customer information are accurate, lawful, and authorized for use.
  • Invoice and File Storage: Invoice files and uploaded documents submitted through Courier Tools Portal may be automatically deleted after one (1) year unless additional archive storage is purchased. Users are responsible for maintaining their own backups of important records and files.
  • Usage Limits and Additional Charges: Subscription plans may include limits related to storage, shipments, invoices, API usage, users, emails, SMS notifications, or other platform resources. Usage exceeding plan limits may result in additional charges billed to the customer. Importable reserves the right to suspend or restrict usage if excessive usage threatens platform stability or remains unpaid.
  • White-Labeling and Custom Domains: Courier Tools Portal may provide white-labeling features including custom branding, domains, and website customization. Users retain ownership of their branding materials and content. However, the underlying software, systems, and platform infrastructure remain the property of Importable. Users are responsible for managing and maintaining their domain and DNS configurations when using custom domains.
  • Communications and Notifications: Courier Tools Portal may send email or SMS notifications on behalf of users. Delivery timing and receipt of notifications are not guaranteed and may be affected by third-party service providers or recipient systems. Users are responsible for ensuring that communications sent through the platform comply with applicable laws and regulations.
  • Data Accuracy and Import Information: Any duty calculations, import estimates, tariff classifications, HS code suggestions, or customs-related information provided through Courier Tools Portal are for informational purposes only and must be independently verified before use. Importable is not responsible for customs decisions, shipment delays, incorrect declarations, penalties, duties, taxes, or losses arising from reliance on platform data.
  • Availability of Service: Importable does not guarantee uninterrupted availability of Courier Tools Portal. Access may be affected by maintenance, updates, outages, or third-party service failures.
  • Prohibited Use: Users may not use Courier Tools Portal to upload malicious software, engage in unlawful or fraudulent activity, attempt unauthorized access to systems or accounts, send spam or unsolicited communications, or reverse engineer any part of the platform. Importable reserves the right to suspend or terminate accounts that violate these terms.

6. Access and Termination

  • Importable reserves the right to terminate or suspend access to the platform, API, or Courier Tools for violations of these Terms or detected misuse.
  • Users must ensure their account credentials, including API tokens, are kept secure and report any unauthorized access immediately.

7. Ownership and Intellectual Property

  • All data, tools, and intellectual property associated with Importable remain the property of Importable or its licensors.
  • Users are prohibited from reverse-engineering, reproducing, or redistributing any part of the Service or its data.

8. Liability and Indemnity

  • Importable is not liable for direct, indirect, or incidental damages arising from the use of the Service.
  • Users agree to indemnify and hold Importable harmless from claims or damages resulting from misuse of the Service or breach of these Terms.

9. Data Accuracy and Disclaimer

While Importable strives to provide accurate duty rates and calculations, the Service is provided "as-is" and "as-available." Importable does not guarantee the accuracy or reliability of the data.

10. Modifications to Terms

Importable reserves the right to update these Terms at any time. Continued use of the Service constitutes acceptance of the revised Terms.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of The Bahamas.
